NextShelf Terms and Conditions

1. Overview and Acceptance of Terms
Welcome to NextShelf. These Terms and Conditions (the “Terms”) govern your access to and use of the NextShelf platform, including any associated websites, applications, features, content, and services (collectively, the “Platform”).
Throughout these Terms, “NextShelf”, “we”, “us”, and “our” refer to the operator of the Platform, and “you” or “your” refers to any individual or entity that accesses or uses the Platform, whether as a visitor, buyer, seller, or otherwise.
By accessing or using the Platform in any manner, including browsing, registering an account, listing products, or completing a transaction, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any other policies referenced herein. These Terms constitute a legally binding agreement between you and NextShelf.
If you do not agree to these Terms, you must immediately cease all use of the Platform.
2. Nature of the Platform and Role of NextShelf
NextShelf operates as an online marketplace designed to facilitate connections between independent sellers and buyers, including both businesses and individual consumers. The Platform enables sellers to create storefronts, list products, and manage their offerings, while enabling buyers to discover and purchase those products.
NextShelf is not the seller, manufacturer, distributor, or owner of the products listed on the Platform. All products are offered and sold directly by third-party sellers. As such, any contract for the purchase and sale of products is formed solely between the buyer and the applicable seller.
NextShelf’s role is limited to providing the technological infrastructure that enables such transactions. We do not take possession of inventory, do not control the quality or legality of products, and do not guarantee that any seller will fulfill their obligations. While we may provide tools, messaging systems, or dispute assistance, we are not a party to transactions and do not assume responsibility for them.
3. Eligibility and Use of the Platform
You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, to use the Platform. By using the Platform, you represent and warrant that you have the legal capacity to enter into a binding agreement.
If you are accessing or using the Platform on behalf of a business or other legal entity, you further represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” will refer to that entity.
You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations.
4. Account Registration and Security
Certain features of the Platform require the creation of an account. In registering for an account, you agree to provide accurate, current, and complete information and to keep such information updated.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you. You agree to notify us immediately of any unauthorized access or use of your account.
NextShelf reserves the right, in its sole discretion, to suspend, restrict, or terminate accounts where we believe that:
- information provided is inaccurate or misleading,
- the account is being used in violation of these Terms, or
- such action is necessary to protect the Platform or its users.
5. Seller Responsibilities and Obligations
Sellers using the Platform are solely responsible for all aspects of their listings and transactions. This includes, without limitation, responsibility for:
- ensuring that all product descriptions, images, specifications, and pricing are accurate and not misleading;
- complying with all applicable laws, including consumer protection, product safety, labelling, tax, and import/export regulations;
- fulfilling orders in a timely and professional manner;
- providing any required customer service, support, or post-sale assistance;
- handling shipping, delivery, and logistics, including providing accurate delivery estimates; and
- establishing and honouring return, refund, and cancellation policies.
Sellers acknowledge that they are the merchant of record in all transactions conducted through the Platform, unless otherwise explicitly stated.
6. Buyer Responsibilities
Buyers are responsible for reviewing product listings carefully before making a purchase, including product descriptions, pricing, shipping terms, and seller policies. Buyers must provide accurate payment and shipping information and ensure that they are legally permitted to purchase the products in question.
Where purchases are made for resale or business purposes, buyers are solely responsible for complying with any applicable laws or obligations associated with such activities.
7. Orders and Formation of Contract
When a buyer places an order through the Platform, such an order constitutes an offer to purchase from the seller. The seller may accept or decline the order at their discretion.
A legally binding contract between the buyer and seller is formed only when the order is accepted and confirmed. NextShelf is not a party to this contract and does not assume any obligations arising from it.
We reserve the right to cancel or restrict orders in cases of suspected fraud, errors in pricing, or violations of these Terms.
8. Pricing, Payments, and Fees
Prices for products are determined solely by sellers and may be subject to change at any time prior to purchase. Prices may or may not include applicable taxes, shipping costs, or additional fees, which will be disclosed at checkout where applicable.
Payments are processed through third-party payment processors. By completing a transaction, you agree to the terms and conditions of such payment providers and authorize the processing of your payment.
NextShelf may charge sellers a transaction-based platform fee (for example, a percentage of each sale, such as approximately three percent (3%)), and reserves the right to introduce additional fees in the future, including but not limited to subscription or monthly service fees, listing fees, or premium feature fees. Any such fees will be disclosed to sellers prior to implementation.
9. Shipping, Delivery, and Fulfillment
All shipping and delivery obligations are the sole responsibility of the seller. Delivery times provided on the Platform are estimates only and are not guaranteed.
NextShelf does not control or assume responsibility for shipping carriers, delays, lost shipments, or delivery issues. Risk of loss and title for products pass from the seller to the buyer in accordance with the seller’s shipping terms.
10. Returns, Refunds, and Disputes
Return and refund policies are determined by individual sellers and may vary. Buyers are responsible for reviewing such policies prior to purchase.
NextShelf does not guarantee refunds or returns but may, at its discretion, facilitate communication or dispute resolution between buyers and sellers. We reserve the right to take action, including issuing refunds, withholding funds, or suspending accounts, in cases involving fraud, abuse, or violations of these Terms.
11. User Content and Platform Use
Users may submit or upload content to the Platform, including product listings, images, messages, and reviews (“User Content”). By submitting User Content, you grant NextShelf a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, and distribute such content for the purpose of operating and promoting the Platform.
You represent and warrant that you have all necessary rights to submit such content and that it does not infringe any third-party rights or violate any laws.
12. Prohibited Conduct
You agree not to engage in any conduct that:
- violates any applicable law or regulation;
- infringes the rights of others;
- involves fraudulent, deceptive, or misleading practices;
- interferes with the operation or security of the Platform; or
- attempts to circumvent fees, controls, or safeguards implemented by NextShelf.
We reserve the right to investigate and take appropriate action in response to violations, including removal of content, suspension of accounts, and referral to law enforcement authorities.
13. Intellectual Property
All content and materials provided by NextShelf, including but not limited to software, design, text, graphics, and trademarks, are the property of NextShelf or its licensors and are protected by applicable intellectual property laws.
Except as expressly permitted, you may not use, reproduce, or distribute such materials without prior written consent.
14. Disclaimers
The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, NextShelf disclaims all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement.
NextShelf does not guarantee that:
- The Platform will be uninterrupted or error-free;
- any product will meet your expectations.
- sellers will fulfill their obligations; or
- any content on the Platform is accurate or reliable.
Your use of the Platform and any transactions conducted through it are at your own risk.
15. Limitation of Liability
To the maximum extent permitted by applicable law, NextShelf shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to loss of profits, data, or business opportunities.
In no event shall NextShelf’s total liability exceed the amount of fees paid to NextShelf in connection with the transaction giving rise to the claim.
16. Indemnification
You agree to indemnify, defend, and hold harmless NextShelf and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:
- your use of the Platform;
- your violation of these Terms;
- your User Content; or
- your products or conduct (if you are a seller).
17. Suspension, Termination, and Enforcement
NextShelf reserves the right, in its sole discretion, to suspend, restrict, or terminate your access to the Platform at any time and for any reason, including where we believe that you have violated these Terms or pose a risk to the Platform or its users.
Termination of access does not relieve you of any obligations incurred prior to termination.
18. Modifications to the Platform and Terms
We reserve the right to modify or discontinue any aspect of the Platform at any time. We may also update these Terms from time to time by posting a revised version on the Platform.
Your continued use of the Platform after such updates constitutes your acceptance of the revised Terms.
19. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Any disputes arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts of Ontario.
20. Entire Agreement
These Terms, together with the Privacy Policy and any additional policies referenced herein, constitute the entire agreement between you and NextShelf and supersede all prior agreements or understandings.
